Provision of Materials: Client must provide necessary materials (logos, brand assets, product information, access credentials) in a timely manner.
Warranties: Client confirms they have the necessary rights and permissions to use all supplied materials (images, music, etc.) and that they do not infringe on any third-party intellectual property.

Pricing: Detail the Base Fee/Retainer (for agency services) and the separate Ad Spend (money paid directly to platforms).
Payment Terms: Specify the invoice schedule (e.g., billed in advance on the 1st of the month) and the payment deadline (e.g., 7 days or 30 days).
Late Payment: State the consequences of late payment, including the right to suspend services immediately and the interest rate charged on overdue amounts (e.g., 5% per month, or the maximum legal rate).
